About Meraki Labs Meraki Labs is a startup incubation centre founded by Mukesh Bansal — the builder behind Myntra, Curefit, and Nurix AI. Role Overview We’re looking for a Company Secretary (CS) to lead legal, governance, and compliance across multiple entity structures (Private Limited, LLPs, and Partnerships) in a fast-paced startup environment. This is a high-ownership role working closely with founders across ventures. Key Responsibilities 1. Entity Setup & Structuring - Incorporate and structure: - Private Limited Companies - LLPs (Limited Liability Partnerships) - Partnership Firms - Advise founders on optimal structures (business, tax, funding) - Manage entity conversions (e.g., Partnership → LLP → Pvt Ltd) 2. Corporate & Statutory Compliance - Ensure compliance with: - Companies Act / MCA (for Pvt Ltd entities) - LLP Act - Partnership Act - Manage filings: - ROC filings (AOC-4, MGT-7, etc.) - LLP filings (Form 8, Form 11, etc.) - Maintain statutory registers and records - Coordinate audits and secretarial compliance 3. Legal Documentation & Governance - Draft, review, and manage: - Shareholder agreements - LLP agreements / Partnership deeds - Vendor, employment, and commercial contracts - Manage board/partner meetings, resolutions, and minutes 4. ESOPs & Structuring - Design and implement ESOP schemes - Ensure compliance and documentation 5. Regulatory & FEMA Compliance - Handle FEMA / RBI compliance for: - Foreign investments - Cross-border transactions - Liaise with regulatory authorities 6. IP & Trademark - Manage trademark registration and IP filings - Coordinate with external legal/IP firms 7. Startup Advisory & Cross-functional Work - Partner with founders, finance, and external advisors - Set up scalable governance frameworks - Support fundraising, due diligence, and investor documentation Who You Are - Qualified Company Secretary (CS) - 4–6 years of experience (startup, consulting, or law firm preferred) - Strong hands-on experience across Company, LLP, and Partnership compliance - Excellent drafting skills and practical problem-solving ability - Comfortable working in a fast-moving, ambiguous environment Why Join Us - Work directly with founders across multiple startups - High ownership and impact from day one - Exposure to 0→1 and scale-up journeys - Strong leadership and mentorship
